Terms of Use

These Terms of Use ("Terms") govern your use of the Caring Owls application and related services (the "Service") provided by Vival Ventures LLC ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Description of Service

Caring Owls is a communication filtering service designed to protect elderly individuals with cognitive decline from unwanted calls and text messages. The Service routes calls and texts through a managed system that allows only pre-approved contacts to reach the care recipient. The Service includes a mobile application for the care recipient and a web-based dashboard for authorized family caregivers.

2. Eligibility and Accounts

You must be at least 18 years old to create a caregiver account. By creating an account and configuring the Service for a care recipient, you represent that you have the legal authority or appropriate family relationship to manage communications on behalf of that individual. Each family account may have multiple authorized caregivers who share equal access to account management features.

3. Authorized Use

The Service is intended for use by families and authorized caregivers to protect individuals with cognitive decline from fraudulent or unwanted communications. You agree to use the Service only for its intended purpose and not to:

• Use the Service to monitor, stalk, harass, or control any individual who has not consented or for whom you do not have caregiving authority.
• Use the Service to intercept communications for any unlawful purpose.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use the Service in any manner that violates applicable federal, state, or local laws or regulations.

4. Telephony and Messaging

The Service uses third-party telephony providers (including Twilio) to route calls and text messages. By using the Service, you acknowledge that:

• Call and message routing depends on internet connectivity and third-party service availability.
• The Service is not a replacement for native emergency calling. Emergency 911 calls are handled through the device's native cellular connection, not through the Service.
• Message delivery and call quality may vary based on network conditions.
• Text messaging through the Service uses SMS and may not support all multimedia message types.

5. Emergency Services

The Service includes a dedicated emergency calling feature that connects to 911 through the device's native cellular network. This feature bypasses the Service entirely to ensure reliable emergency access. The Service is not designed or intended to replace standard emergency communication capabilities. We do not guarantee the availability or functionality of emergency services through or alongside the Service.

6. Contact Management and Filtering

Caregivers are responsible for maintaining the list of approved contacts. The Service will filter calls and texts based on this list. We are not responsible for legitimate calls or messages that are blocked because the sender was not added to the approved contacts list. Caregivers should regularly review blocked attempts and pending approvals to ensure important contacts are not inadvertently filtered.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Subscription and Payment

The Service may require a monthly subscription fee. Current pricing and payment terms will be communicated at the time of signup. We reserve the right to modify pricing with 30 days' notice to active subscribers. You may cancel your subscription at any time, and service will continue until the end of your current billing period.

9. Limitation of Liability

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Service. To the maximum extent permitted by law, Vival Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages resulting from blocked legitimate calls, unblocked fraudulent calls, service interruptions, or data loss.

10. Indemnification

You agree to indemnify and hold harmless Vival Ventures LLC and its officers, employees, and agents from any claims, losses, or damages arising from your use of the Service or your violation of these Terms.

11. Modifications to Service and Terms

We may modify the Service or these Terms at any time. Material changes to these Terms will be communicated to active users via email at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a manner that we determine is harmful or inappropriate. You may terminate your account at any time by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the State of Illinois.
